IBM to acquire Software Maker for $1.2 Billion


IBM said Tuesday that it would acquire a maker of analytic's software, SPSS, in an all-cash transaction for $50 a share, valuing the deal at about $1.2 billion.

I.B.M. said the acquisition of SPSS, which is based in Chicago, would strengthen its information-agenda initiative, which helps companies turn information into a strategic asset.

SPSS software helps predict customer reactions to a wide range of information, including sales pitches and marketing campaigns. Clients include financial firms, telecommunications companies, government agencies and educational institutions.

The deal is expected to close later in the second half, subject to approval by SPSS shareholders and regulatory clearances.

I.B.M.’s general manager for information management, Ambuj Goyal, said in a statement that “predictive analytic's can help clients move beyond the ‘sense and respond’ mode — which can leave blind spots for strategic information in today’s fast paced environment — to ‘predict and act’ for improved business outcomes.”

Separately, I.B.M. also said it had acquired Ounce Labs Inc., a privately held software company in Waltham, Mass., for an undisclosed amount. I.B.M. said the company makes software that helps businesses reduce the risk and costs associated with security and compliance concerns.
